A detailed description of the Services and benefits included in each type of Subscription, including any applicable features, method of performance, technical requirements, eligibility conditions, usage limits, geographic restrictions and other material limitations, is available at stowehealth.com/legal/service-description (the “Service Description”). The Service Description applicable when you purchase your Subscription forms part of your agreement with Stowe. The specific terms applicable to the Subscription you select, including the applicable Service Description, the applicable subscription fee (the “Subscription Fee”) and monthly or annual billing period (the “Billing Cycle”), will be presented to you during sign-up and will form part of your agreement with Stowe (the “Subscription Details”). Stowe may update the Service Description from time to time, but any material change affecting an existing Subscription will be made only in accordance with section 11.7 and applicable law. If there is a conflict between this section and the Subscription Details, the Subscription Details will govern with respect to the applicable Subscription, subject to applicable law.
11.2. Subscription Fees and Billing
When you purchase a Subscription, you authorize Stowe and its payment service providers to charge the payment method you select for the Subscription Fee, taxes and other agreed charges for the initial Billing Cycle and each subsequent Billing Cycle until you cancel. 11.3. Promotional Offers and Codes
Stowe may offer free trials, discounted periods, promotional offers or promotional codes, subject to the Subscription Details. A promotional code must be entered during sign-up and will apply only if it is valid and you satisfy any applicable eligibility, redemption and usage requirements. Unless the Subscription Details state otherwise, a Subscription will automatically convert to the applicable full-price paid Subscription when a trial, discounted period or promotional offer ends unless you cancel before the applicable cancellation deadline. Promotional offers and codes may not be combined unless Stowe expressly permits otherwise and may be withdrawn before they are accepted.
11.4. Subscription Benefits and Availability
The benefits included in your Subscription are described in the applicable Service Description and Subscription Details. Those benefits are personal to you, are not transferable and may be used only in accordance with these Terms, the Service Description and the Subscription Details. Benefits may vary by Subscription and may be subject to usage limits, geographic availability, device or system requirements and other restrictions identified in the Service Description or Subscription Details. Stowe does not guarantee that every Service or benefit will be available at all times or in every location, except as expressly provided in the applicable Service Description or Subscription Details and subject to applicable law. To avoid the next recurring charge, you must cancel before the next renewal date, subject to any shorter notice period or other cancellation right required by applicable law. Unless otherwise stated in the Subscription Details or required by applicable law, cancellation stops future renewals, takes effect at the end of the current paid Billing Cycle, and does not immediately terminate your access to the Subscription benefits. Amounts already paid are non-refundable and will not be prorated, except as stated in the Subscription Details or required by applicable law. Nothing in this section limits any cancellation, refund or other rights available under applicable consumer protection laws.
11.7. Changes by Stowe
Stowe may, in its discretion, update the Service Description or modify, add, remove, replace, suspend or discontinue any aspect of a Subscription, including its Services, benefits, features, functionality, eligibility requirements, usage limits, availability, restrictions and Subscription Fee, from time to time. Stowe may make such changes with or without prior notice, except where notice is required by applicable law. Changes other than a change to the Subscription Fee will take effect on the date specified by Stowe or, if no date is specified, when implemented or posted in the Service Description. A change to the Subscription Fee will take effect at the start of your next renewal Billing Cycle. If Stowe provides notice of a change before your next renewal date and you do not agree to the change, your sole and exclusive contractual remedy is to cancel the renewal of your Subscription in accordance with section 11.6 before that renewal date. If you do not cancel before the renewal date, your Subscription will renew and the change will apply to the renewed Subscription. Except as required by applicable law, a change does not entitle you to a refund, credit or other compensation. Changes to Subscriptions and the applicable Service Description are governed by this section and not by section 14.4. Nothing in this section limits any right or remedy that cannot be excluded, restricted or waived under applicable law.
11.8. Failed Payments
If Stowe cannot process a recurring payment, Stowe may make a reasonable number of further attempts to process the charge and may suspend or terminate access to the paid Services after providing any notice required by applicable law. Any late, returned-payment or administrative fee will apply only if agreed by you and permitted by applicable law.

We may, however, assign any of our rights and obligations under these Terms to a third party, without obtaining your prior consent.

The failure or delay by us to exercise or enforce any right or provision of the Terms will not constitute a waiver of future enforcement of that right or provision.
14.4. Changes to the Terms
Stowe may, in its discretion, amend, add to, remove or replace any provision of these Terms from time to time. Stowe may make such changes with or without prior notice, except where notice is required by applicable law. The then-current version of the Terms will be posted on the Sites and will identify the date on which it was last updated. A change will take effect on the date specified by Stowe or, if no date is specified, when the updated Terms are posted. If you do not agree to a change, your sole and exclusive contractual remedy is to discontinue your use of the Sites before the change takes effect. Your continued access to or use of the Sites after a change takes effect constitutes your acceptance of the updated Terms. Changes affecting a Subscription or the applicable Service Description are governed exclusively by section 11.7, including the effective date of those changes and your right to cancel the renewal of your Subscription before the next renewal date. Except as required by applicable law, a change does not entitle you to a refund, credit or other compensation.
